Affichage shareholders approve all the proposals of the Board of Directors
The shareholders of Affichage Holding SA have approved all the proposals of the Board of Directors at the Annual General Meeting of 23 May 2012. As of July 2012, the company's new name will be APG SGA SA. A gross dividend of CHF 7 per share will be paid out. In addition, Markus Scheidegger was re-elected as a member of the Board of Directors and the restrictions on the transferability of registered shares (Vinkulierung) contained in the Articles of Association were cancelled.
At today's AGM of Affichage Holding SA, the shareholders present (representing 1'156'404 registered shares with voting rights) approved all the proposals put forward by the Board of Directors.
The annual report, the annual accounts and the consolidated financial statements for 2011 were approved, as well as the distribution of a gross dividend of CHF 7 per share. Discharge was granted to the entire Board of Directors for fiscal year 2011 and Markus Scheidegger was re-elected as a member of the Board of Directors and will continue working alongside the other members, i.e. Jean-François Decaux (Chairman), Paul-Henry Binz (Vice-Chairman), Gilles Samyn and Robert Schmidli.
Furthermore, the company's new corporate name will be APG SGA SA as of July 2012, and the Articles of Association's clause imposing restrictions on the transferability of registered shares (Vinkulierung) was cancelled. As a result, registration, with voting rights, of a shareholder with the share registry will no longer be limited to 5% of the share capital.
